Commercial Adapter License Terms

These terms apply to the commercial adapter and related proprietary components. Additional protocol support may be governed by separate terms where explicitly stated.

  1. License Grant

    The purchaser or purchasing organization is granted a non-exclusive, non-transferable license to use the purchased adapter for its internal business purposes by its employees and contractors on any number of machines. The customer may not redistribute, sublicense, or resell the adapter.

  2. Ownership

    The adapter, documentation, and all related intellectual property remain the property of the developer. No ownership rights are transferred. No rights to the ModbusScope name or trademarks are granted.

  3. GPL Components

    The ModbusScope application and any other GPL-licensed components are licensed separately under their respective open-source licenses. These terms apply only to the proprietary adapter and related proprietary materials.

  4. Updates

    For 12 months after purchase, the customer is entitled to all updates for the licensed adapter. After this period, the customer may continue using the software indefinitely but is limited to the latest licensed minor version. Updates within that minor version, including maintenance releases and bug fixes, remain available. Security fixes are only guaranteed for the latest software version.

  5. Support

    Support is provided on a reasonable-effort basis by email unless otherwise agreed in writing.

  6. Warranty Disclaimer

    To the maximum extent permitted by law, the software is provided “as is” without any express or implied warranties.

  7. Limitation of Liability

    To the maximum extent permitted by law, the developer's total liability shall not exceed the amount paid for the license, except in cases of intent or gross negligence. Nothing in these terms limits mandatory rights of consumers under applicable law.

  8. Termination

    The license ends if the customer materially breaches these terms and fails to remedy the breach within 30 days after written notice.

  9. Entire Agreement

    These terms constitute the entire agreement regarding the license and supersede any prior discussions or understandings relating to it.

  10. Governing Law and Courts

    These terms are governed by Belgian law. For business customers, the courts of Antwerp have exclusive jurisdiction. Consumers keep the mandatory protections and court access of their country of residence.
